Accredited investor — A US investor meeting income, net worth or professional-credential thresholds under Regulation D, permitting participation in most private offerings. The issuer, not an intermediary, verifies status as part of subscription.

Accreditation is verified by the issuer at subscription, not by an introducer or platform. Under Rule 506(c), where general solicitation is used, the issuer must take reasonable steps to verify status rather than relying on self-certification — a materially higher bar than a private 506(b) offering.

Frequently asked questions

Who checks accredited investor status?
The issuer, as part of its own subscription process — never an introducer, broker or platform, which have no verification role.
Does accredited status guarantee access to any private fund?
No. It is a floor, not a guarantee. Many funds set a higher bar — qualified purchaser status — depending on which exclusion from the Investment Company Act they rely on.
